Terms of Service

Welcome to CodeFirst Systems. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and CodeFirst Systems ("Company", "we", "us", or "our") governing your access to and use of our WhatsApp Business communication platform, bulk broadcast tools, AI chatbot, CRM, team inbox, and all related services (collectively, the "Platform" or "Services").

By registering for, accessing, or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use our Services.

1. Description of Services

CodeFirst Systems provides a cloud-based business communication platform that includes:

• WhatsApp Business API integration for marketing and customer engagement
• Bulk message broadcast and campaign management
• AI-powered chatbot builder and automation flows
• Shared team inbox for multi-agent customer support
• Customer Relationship Management (CRM) tools
• Voice messaging and SMS broadcasting
• Analytics and reporting dashboards
• Third-party integrations including Google Sheets and Shopify
• Facebook and Instagram messaging (via Meta Business Suite integration)

2. Eligibility and Account Registration

To use our Services, you must:

• Be at least 18 years of age
• Be a registered business entity or acting on behalf of one
• Provide accurate, complete, and current registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use of your account

You are solely responsible for all activity that occurs under your account. We reserve the right to refuse service, terminate accounts, or cancel subscriptions at our discretion.

3. Use of Meta and WhatsApp Business Platform

Our platform integrates with Meta's products including WhatsApp Business API, Facebook Login for Business, and Instagram Messaging. By using these features, you acknowledge and agree to the following:

3.1 Meta Platform Compliance

Your use of any Meta-integrated features is subject to Meta's Platform Terms (developers.facebook.com/terms), WhatsApp Business Terms of Service, and Meta's Community Standards. You agree to comply with all applicable Meta policies at all times.

3.2 Facebook Login for Business

When you authenticate via Facebook Login for Business, we access only the permissions you explicitly grant. These may include your business phone number, WhatsApp Business Account (WABA) details, and messaging capabilities. We use this data solely to:

• Connect your WhatsApp Business Account to our platform
• Send and receive messages on your behalf through the WhatsApp Business API
• Display account analytics and message delivery reports
• Manage message templates submitted for Meta approval

We do not sell, transfer, or use Meta platform data for advertising, profiling, or any purpose unrelated to providing you with the Services.

3.3 WhatsApp Messaging Policies

You agree to use WhatsApp Business API features strictly in accordance with WhatsApp's Business Policy and Commerce Policy. You must not:

• Send unsolicited messages (spam) or contact users who have not opted in
• Send prohibited content including adult content, weapons, drugs, or hate speech
• Use automated messaging to harass, threaten, or deceive recipients
• Violate any applicable anti-spam laws (e.g., TCPA, CAN-SPAM, TRAI guidelines)
• Impersonate another business or person

3.4 Opt-In and Consent Requirements

You are solely responsible for obtaining valid, explicit opt-in consent from every contact you message through our platform. You must maintain records of consent and provide opt-out mechanisms. Failure to comply may result in immediate account suspension.

4. Data Collection and Use of User Data

4.1 Data We Collect

In providing the Services, we collect and process:

• Account registration data (name, email, phone, business name)
• WhatsApp Business Account credentials and configuration data
• Message content, templates, and campaign data you create
• Contact lists and customer data you upload to the platform
• Usage analytics, logs, and performance metrics
• Billing and payment information

4.2 How We Use Your Data

We use your data exclusively to:

• Provide, operate, and improve the Services
• Process and deliver messages through connected channels
• Generate analytics reports for your account
• Provide customer support
• Send service-related notifications and billing information
• Comply with legal obligations

We do not sell, rent, or share your data or your customers' data with third parties for advertising or marketing purposes.

4.3 Data Retention and Deletion

We retain your data for as long as your account is active or as needed to provide the Services. Upon account termination, we will delete your data within 90 days, except where retention is required by law. You may request deletion of your data at any time by contacting us at info@codefirstsystems.com.

For data received through Meta's platform, we adhere to Meta's data deletion requirements. If you delete your Facebook or WhatsApp Business account, we will process the corresponding data deletion request promptly.

5. Acceptable Use Policy

You agree not to use our Services to:

• Violate any applicable local, national, or international laws or regulations
• Send spam, bulk unsolicited messages, or phishing content
• Distribute malware, viruses, or any harmful software
• Collect or harvest personal data without proper legal basis
• Infringe on intellectual property rights of any third party
• Impersonate any person, business, or entity
• Engage in any activity that disrupts or interferes with the Services
• Attempt to gain unauthorized access to any part of the platform
• Use the platform in connection with any illegal business practices

Violation of this policy may result in immediate suspension or termination of your account without refund.

6. Subscription Plans and Payment Terms

• Services are offered on subscription basis with plans detailed on our pricing page
• Subscriptions are billed in advance on a monthly or annual basis
• All fees are in INR unless otherwise stated; taxes apply as per applicable law
• Payments are non-refundable except where required by law or explicitly stated
• Failure to pay may result in suspension of your account
• We reserve the right to modify pricing with 30 days' prior notice
• WhatsApp conversation-based charges from Meta are passed through at cost and are separate from platform subscription fees

7. Intellectual Property

7.1 Our Platform

All rights, title, and interest in and to the platform, including software, design, trademarks, and content created by us, are owned by or licensed to CodeFirst Systems. You may not copy, modify, distribute, or create derivative works without our written consent.

7.2 Your Content

You retain full ownership of all content, data, and materials you upload or create on the platform. By using our Services, you grant us a limited, non-exclusive license to process and transmit your content solely as necessary to provide the Services.

8. Third-Party Services and Integrations

Our platform integrates with third-party services including Meta (WhatsApp, Facebook, Instagram), Google, Shopify, and others. These integrations are subject to the respective third parties' terms and policies. We are not responsible for the availability, accuracy, or practices of third-party services.

When you connect third-party accounts, you authorize us to access and use information from those accounts as permitted by those services and as described in our Privacy Policy.

9. Service Availability and Disclaimers

We strive to maintain high availability but do not guarantee uninterrupted or error-free service. The platform is provided "as is" and "as available" without warranties of any kind, express or implied. We expressly disclaim any warranties of merchantability, fitness for a particular purpose, or non-infringement.

Message delivery through WhatsApp, SMS, or other channels is subject to the policies and infrastructure of those respective platforms. We are not liable for delivery failures caused by third-party channel providers.

10. Limitation of Liability

To the maximum extent permitted by applicable law, CodeFirst Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with your use of the Services.

Our total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by you in the three (3) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless CodeFirst Systems, its directors, employees, and partners from and against any claims, liabilities, damages, penalties, and expenses (including legal fees) arising from:

• Your use of the Services in violation of these Terms
• Your violation of any applicable law or third-party rights
• Your messaging campaigns, content, or contact lists
• Any breach of your data protection or consent obligations
• Penalties imposed by Meta or WhatsApp due to your policy violations

12. Termination

Either party may terminate these Terms at any time. You may cancel your subscription from your account dashboard. We may suspend or terminate your access immediately if:

• You breach any provision of these Terms
• Your account is flagged or suspended by Meta or WhatsApp
• We suspect fraudulent, abusive, or illegal activity
• You fail to pay fees when due

Upon termination, your right to access the platform ceases immediately. We will process data deletion as described in Section 4.3.

13. Privacy and Data Protection

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring your own compliance with applicable data protection laws (including GDPR, PDPB, and other applicable regulations) when using our platform to process your customers' data.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Indore, Madhya Pradesh, India. We encourage you to contact us first to resolve any issues amicably.

15. Changes to These Terms

We may revise these Terms periodically. Material changes will be communicated via email or an in-platform notification at least 14 days before taking effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Services and cancel your subscription.
